1. Who you are contracting with

These Terms & Conditions ("Terms") are a binding agreement between you and FocalPoint Design House INC. ("FocalPoint," "we," "us," or "our"), the provider of the FocalPoint Design guides, templates, and bundles (together, the "Service"). By purchasing, downloading, or otherwise using the Service, you agree to these Terms.

2. Eligibility & authority

You represent that you are of legal age to form a binding contract and, if you are purchasing on behalf of an organization, that you have authority to bind it. You agree to provide accurate account information and keep it current.

3. The product

The Service consists of downloadable digital publications (PDF guides, template packs, and related written material). Content is provided for your own business use.

4. Licence & restrictions

Subject to your compliance with these Terms, FocalPoint grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for your own internal or professional purposes. You may not:

• resell, redistribute, sublicense, or publicly share the guides or templates;
• remove proprietary notices or reverse engineer any part of the Service;
• use the Service to build a competing product or training dataset;
• circumvent access controls, signed download links, or entitlement checks.

5. Acceptable use

You may use the Service only for lawful purposes and in compliance with these Terms. You are responsible for all activity that occurs under your account and for any content you generate, upload, or share in connection with the Service.

Without limitation, you agree that you will not, and will not permit others to:

• use the Service in any way that violates any applicable local, state, national, or international law or regulation;
• use the Service for fraudulent, deceptive, or misleading purposes, including payment fraud or chargeback abuse;
• send, upload, distribute, or disseminate any unlawful, defamatory, harassing, abusive, obscene, hateful, or otherwise objectionable content;
• introduce or transmit viruses, worms, malware, spyware, ransomware, or any other harmful or disruptive code;
• interfere with or disrupt the integrity, security, or performance of the Service, its servers, or connected networks;
• attempt to gain unauthorised access to the Service, other users' accounts, or related systems or networks;
• scrape, crawl, spider, harvest, or otherwise extract data from the Service without our express written consent;
• use the Service to send unsolicited promotional or commercial communications (spam) or to harvest email addresses or other contact information;
• infringe or misappropriate any intellectual property, privacy, publicity, or other proprietary rights of any third party;
• use the Service to develop, train, or improve any machine-learning model, dataset, or competing product without our authorisation;
• share, sell, resell, rent, lease, or sublicense access to your account or the Service to any third party;
• circumvent, disable, or otherwise interfere with any access-control, entitlement, licensing, or security features of the Service.

We reserve the right to investigate and take appropriate action, including suspending or terminating your account, revoking entitlements and download access, and reporting illegal conduct to law enforcement or regulatory authorities, for any violation of this section.

6. Intellectual property

FocalPoint and its licensors retain all right, title, and interest in and to the Service, including all text, templates, software, branding, and documentation. No rights are granted to you other than the licence expressly set out in these Terms.

7. Payments, billing & Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Prices, taxes, subscription renewals, cancellations, refunds, and billing mechanics are governed by the Paddle Buyer Terms, which apply to your purchase in addition to these Terms.

8. Refunds

9. Service availability & warranties

We work hard to keep the Service running, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Suspension & termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated violations of our acceptable-use rules. On termination, your licence ends and your access to download links may be revoked.

11. Limitation of liability

To the fullest extent permitted by law, FocalPoint's aggregate liability arising out of or relating to these Terms or the Service is capped at the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability that cannot lawfully be excluded (including for fraud, death, or personal injury caused by our negligence).

12. Indemnity

You will indemnify and hold FocalPoint harmless from claims arising out of your misuse of the Service, your content, or your violation of these Terms or of applicable law.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be highlighted on this page. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which FocalPoint Design House INC. is incorporated, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction, unless applicable consumer law grants you additional rights.
